Overview
§1 General
The aim of this agreement is to clearly regulate business processes and procedures and to create a reliable, legal basis for our future collaboration.
§2 Sales target, cancellation of the agreement
For the B2B purchasing conditions granted, LTT Group GmbH, hereinafter referred to as LTT, expects a total annual turnover of at least € 2,000 net. If this is not achieved within 12 months, LTT reserves the right to adjust the purchasing conditions or to block the account or revoke the agreement.
§3 Shipping conditions, transfer of risk
The risk shall pass to the purchaser as soon as the consignment has been handed over to the carrier or has left LTT's warehouse for despatch. The current version of the terms of despatch can be found under Delivery and shipping costs.
§4 Warranty, place of fulfilment
The current version of the warranty conditions can be found here. The place of fulfilment of the warranty is 46399 Bocholt. LTT provides an electronic returns processing system for returns of any kind (complaints, returns, defective equipment, transport damage, loss of consignment). In the event of a return delivery of goods to LTT, the B2B partner shall prepare a return form or, subject to LTT's consent, shall adhere to a comparable procedure agreed individually for the individual case.
§5 Cancellation of purchase contracts
LTT does not grant the B2B partner a general right of cancellation of concluded purchase contracts. A concluded purchase contract is a binding legal transaction without a right of cancellation. LTT reserves the right to voluntarily take back goods from purchase contracts in return for a percentage discount to be determined on a case-by-case basis. This discount is based on the additional expenses incurred by LTT for checking the goods, restocking and the commercial reversal of the transaction.
§6 Use of product images, product descriptions, videos and documents
This agreement does not grant the B2B partner any rights to use product images, product descriptions, videos, documents or other copyrighted materials of LTT Group GmbH that are related to the products. Any use of these materials, including their reproduction, distribution or publication, is only permitted if a separate, written contract for the transfer of rights of use has been concluded. Use without such a contract is expressly excluded.
§7 End of contract / cancellation, changes to the agreement
The B2B Terms and Conditions can be cancelled by either party at any time. Any changes to the agreement must be made in writing. The law of the Federal Republic of Germany shall apply. The place of jurisdiction is 46399 Bocholt, Germany. If any provision of this agreement is invalid, all other provisions shall remain valid.
